# Dropair Terms of Use and Sales Conditions

**Last updated: April 1, 2026**

These Dropair Terms of Use and Sales Conditions ("Terms") govern your creation and use of a Dropair ID, your access to Dropair websites, portals, cloud services, applications, firmware services, software services, client systems and other online services that use or are associated with a Dropair ID (collectively, the "Services"), and, where applicable, quotations, orders, products, software, firmware, licenses, technical materials and support services made available through the Services.

Your **Dropair ID** is the account used to identify and authenticate you across supported Dropair Services. Availability of particular Services, features, products or functions may vary by account type, region, product, organization, authorization level or separate agreement.

By creating a Dropair ID, clicking "I Agree," accessing or continuing to use the Services, submitting an order, accepting a quotation, making payment, or otherwise entering into a transaction through the Services, you confirm that you have read, understood and agreed to these Terms.

If you do not agree to these Terms, you must not create or use a Dropair ID or access the Services.

---

## 1. System Operator and Contracting Entity

The Dropair ID system and related Services are operated by **Dropair Co., Ltd.(ドロップエア株式会社)** ("Dropair," "we," "us," or "our"), unless otherwise identified for a particular Service.

Products, software licenses, technical services and other services available through the Services may be sold or provided by Dropair or by one of its affiliated companies.

The legal entity identified in the applicable quotation, invoice, order confirmation, license agreement, service agreement or other transaction document shall be the contracting seller or service provider for that transaction ("Seller").

Use of a Dropair ID does not by itself determine which Dropair entity is the Seller for a particular transaction.

---

## 2. Eligibility and Authority

You must have the legal capacity to enter into a binding agreement.

If you create or use a Dropair ID on behalf of a company, dealer, distributor, installer, contractor, project owner or other organization, you represent that you are authorized to act on behalf of that organization in connection with the Services.

Certain Services may require additional approval, verification, authorization or acceptance of additional terms.

---

## 3. Dropair ID Registration

You must provide complete, accurate and reasonably up-to-date registration information.

A Dropair ID may be associated with:

- an individual user;
- one or more organizations;
- customer or partner accounts;
- products or installations;
- Sites, Homes or projects;
- permissions and roles; and
- supported Dropair Services.

Creating a Dropair ID does not automatically grant access to every Dropair Service or feature.

Dropair may require verification of identity, organization, email address, business relationship or other account information where reasonably necessary for security, access control, transactions or legal compliance.

---

## 4. Account Security

You are responsible for maintaining the confidentiality and security of your account credentials and authentication methods.

You must promptly notify Dropair if you become aware of unauthorized access, credential compromise or suspected misuse of your Dropair ID.

You must not:

- share credentials in a manner that compromises account security;
- attempt to access another user's account without authorization;
- circumvent authentication or authorization controls; or
- use automated or deceptive methods to obtain unauthorized access to the Services.

Dropair may require password changes, additional authentication or other reasonable security measures where necessary to protect users, systems or data.

---

## 5. Dropair Services

A Dropair ID may be used with Services including, where available:

- Dropair Client System;
- Firmware Online and firmware-related services;
- Dropair Cloud services;
- Dropair applications;
- device management;
- product configuration;
- software and firmware licensing;
- technical support;
- dealer, distributor and installer services;
- Climate and building-control services;
- documentation and technical resources; and
- other current or future Dropair online services.

New Services may be added to the Dropair ID ecosystem without requiring users to create a separate account.

Specific Services may have additional service-specific terms, notices, technical requirements or policies. Where additional terms apply, they supplement these Terms.

If there is a direct conflict between these Terms and specific written terms expressly applicable to a particular transaction or Service, the more specific terms shall govern that matter.

---

## 6. Permitted Use

You may use the Services only for lawful and authorized purposes relating to Dropair products, systems and services.

You must not:

- misuse or interfere with the Services;
- bypass security or access controls;
- access data, accounts or systems without authorization;
- disclose confidential or non-public pricing, technical materials or credentials without authorization;
- reverse engineer protected software or firmware except where such restriction is prohibited by applicable law;
- remove proprietary notices;
- introduce malicious code or intentionally disrupt the Services; or
- make unauthorized representations or commitments on behalf of Dropair or its affiliated companies.

---

## 7. Organizations, Roles and Permissions

Dropair Services may support organization-based accounts and different user roles.

An organization administrator may, where supported, invite users, assign permissions, manage access to Sites or devices, and remove organizational access.

Access to organization resources is determined by the permissions associated with the user's Dropair ID.

Removal from an organization does not necessarily delete the user's Dropair ID.

Dropair may maintain records of account, permission and security events where reasonably necessary for operation, security, auditing and legal compliance.

---

## 8. Dealer, Distributor and Partner Accounts

Approval or registration as a dealer, distributor, installer, contractor, integrator or other partner does not by itself create:

- an agency relationship;
- employment;
- partnership;
- franchise;
- exclusivity;
- exclusive territory; or
- authority to legally bind Dropair.

Any such relationship must be separately agreed in writing.

Partner pricing, technical materials, software, documentation and other non-public information made available through a Dropair ID may be confidential and subject to additional restrictions.

---

## 9. Quotations

Unless otherwise stated in the applicable quotation, quotations are valid for seven calendar days.

A quotation may need to be revised if there is a change in:

- product;
- quantity;
- destination;
- shipping address;
- technical requirements;
- compatibility information;
- payment method;
- currency;
- shipping method; or
- other information relevant to the transaction.

A quotation does not constitute final acceptance of an order unless expressly stated otherwise.

---

## 10. Orders and Order Acceptance

Product listings, availability information and prices displayed through the Services are invitations to place an order and do not by themselves constitute binding offers.

An order becomes binding when the applicable Seller:

- issues written acceptance;
- confirms acceptance through the Services or by email;
- issues a final invoice following acceptance; or
- ships the applicable products,

as appropriate to the transaction.

Dropair or the Seller may request additional information before accepting an order.

---

## 11. Prices and Payment

Prices, currency, payment method, payment deadline, applicable taxes and other charges will be stated in the applicable quotation, invoice, order confirmation or checkout interface.

Unless otherwise agreed in writing, cleared payment must be received before applicable production, configuration, programming, licensing or shipment begins.

Bank, payment-provider, currency-conversion or intermediary charges may be the customer's responsibility unless otherwise agreed.

---

## 12. Taxes, Customs and Import Charges

Unless expressly included in the applicable transaction documents, prices do not include:

- import duties;
- VAT;
- consumption tax;
- sales tax;
- customs clearance;
- brokerage;
- inspection fees;
- certification or regulatory charges;
- remote-area charges;
- storage;
- destination handling; or
- other third-party charges.

Such costs are the customer's responsibility unless otherwise expressly agreed.

---

## 13. Shipping and Delivery

For standard products identified as in stock, shipment normally occurs within five business days after cleared payment unless otherwise stated.

Shipment dates, delivery dates and tracking estimates are estimates and are not guaranteed unless expressly agreed in writing.

Delivery may be affected by circumstances including:

- customs inspections;
- carrier delays;
- weather;
- public holidays;
- remote-area delivery;
- incorrect or incomplete addresses;
- regulatory requirements; and
- circumstances outside the reasonable control of the Seller.

Applicable delivery terms may be stated separately in the quotation, invoice or order confirmation.

---

## 14. Product Information and Compatibility

You are responsible for providing complete and accurate information reasonably necessary to determine product suitability, including where relevant:

- air conditioner or HVAC type;
- indoor-unit manufacturer and model;
- thermostat;
- wiring;
- power supply;
- installation environment;
- country or region;
- intended use; and
- relevant third-party equipment.

Unless expressly guaranteed in writing, compatibility with every third-party product, platform or system is not guaranteed.

Compatibility information may change as third-party products, software, firmware or services are updated.

---

## 15. Installation and Safety

Dropair products must be installed, configured and used in accordance with:

- applicable Dropair documentation;
- installation manuals;
- applicable electrical and building regulations;
- relevant equipment-manufacturer instructions; and
- accepted electrical and installation safety practices.

Installation must be performed by a qualified technician where required by applicable law, regulation, product documentation or the nature of the installation.

---

## 16. Software, Firmware, Cloud Services and Licenses

Dropair products may depend on software, firmware, cloud services or licenses.

Unless otherwise agreed in writing, software and firmware supplied by Dropair are licensed, not sold.

You receive a limited, non-exclusive, non-transferable right to use the applicable software or firmware with the authorized Dropair product or Service for its intended purpose.

Dropair may provide:

- firmware updates;
- security updates;
- bug fixes;
- compatibility updates;
- feature updates; and
- configuration changes.

Availability of particular updates or cloud features may depend on product generation, hardware capability, region, account authorization, support status or applicable service plan.

---

## 17. Intellectual Property

All rights in and to the Services and related materials, including software, firmware, algorithms, databases, APIs, protocols, interfaces, manuals, drawings, technical documents, trademarks, product names, photographs, videos and other materials, remain with Dropair, the Seller or the applicable rights holder.

Except for the limited rights expressly granted under these Terms or another written agreement, no intellectual-property rights are transferred to you.

---

## 18. Device, Site and Climate Data

Certain Dropair Services may receive and process technical data from connected products and building systems.

Depending on the products and features used, such data may include:

- device status;
- configuration;
- sensor measurements;
- temperature and humidity;
- indoor-air-quality measurements;
- equipment operating state;
- energy-related information;
- presence or activity indicators;
- environmental measurements;
- fault and diagnostic information;
- timestamps;
- user commands; and
- system-performance data.

Such information may be used to provide device control, automation, diagnostics, technical support, performance analysis, system improvement and other functions described in the applicable Service or Privacy Policy.

Where Dropair Climate or similar intelligent-control functionality is enabled, environmental, equipment, building and usage data may be analyzed over time to estimate conditions, trends, preferences and appropriate control strategies.

Specific data processing practices are described in the Dropair Privacy Policy and, where applicable, additional notices presented for a particular feature.

---

## 19. Sensor and Environmental Data

Dropair products may use sensor information to understand environmental conditions and system operation.

Where acoustic environmental sensing is supported, Dropair Climate is designed to use environmental metrics such as noise level, variation or trends rather than the semantic content of conversations.

Unless a separate product or feature expressly states otherwise, Climate functionality does not require speech recognition or cloud transmission of recoverable audio recordings.

Additional sensor capabilities may be described in applicable product documentation or privacy notices.

---

## 20. Automated and Intelligent Functions

Certain Dropair Services may provide automated recommendations, predictions, schedules or control actions based on sensor information, historical data, equipment behavior, environmental conditions or user preferences.

These functions may change over time as models, algorithms and software are improved.

Predictions and automated decisions are estimates and may not always accurately reflect actual human comfort, occupancy, future environmental conditions or equipment performance.

Users should maintain appropriate supervision where required for safety, regulatory compliance or critical building operation.

---

## 21. Limited Warranty

Unless otherwise stated in the applicable quotation or warranty documentation, Dropair products are covered by a two-year limited warranty beginning on the documented delivery date.

The limited warranty does not cover damage, malfunction or incompatibility resulting from:

- incorrect installation;
- misuse;
- unauthorized modification;
- external electrical faults;
- incorrect wiring;
- inaccurate compatibility information supplied by the customer;
- use outside documented operating conditions;
- normal wear;
- products obtained from unauthorized sellers; or
- products that cannot reasonably be identified.

Additional warranty terms may apply to particular products or transactions.

---

## 22. Returns and Refunds

You must contact Dropair or the applicable Seller and obtain return instructions before returning products.

Returned products must be adequately packaged and include the product, relevant accessories and information reasonably necessary to identify the order and product.

Custom, configured, programmed or made-to-order products are not returnable merely because the customer changes their mind unless otherwise agreed or required by applicable law.

Nothing in these Terms excludes any non-waivable rights available under applicable consumer law.

---

## 23. Out-of-Warranty Repair

Products outside the applicable warranty period may be inspected, repaired or replaced for a quoted fee where service is available.

No chargeable repair will be performed until the customer approves the applicable quotation or otherwise authorizes the work.

---

## 24. Technical Support

Technical support is available through the contact methods published by Dropair.

Current support contact includes:

**WhatsApp: +81 70 4304 1687**

Support availability and response times may vary depending on:

- business hours;
- public holidays;
- time-zone differences;
- product;
- service status;
- issue complexity; and
- availability of required technical information.

---

## 25. Privacy and Personal Information

Personal information associated with a Dropair ID and the Services is handled in accordance with the **Dropair Privacy Policy**.

The Privacy Policy describes matters including:

- categories of personal information collected;
- account information;
- device and service information;
- purposes of processing;
- sharing with affiliated companies and service providers;
- payment and shipping providers;
- international transfer or storage;
- retention;
- security;
- cookies or similar technologies where applicable; and
- applicable privacy rights and requests.

By creating a Dropair ID, you acknowledge that you have been provided access to the Dropair Privacy Policy.

---

## 26. System Availability

Dropair may temporarily suspend, restrict or modify all or part of the Services for reasons including:

- maintenance;
- upgrades;
- security incidents;
- technical failures;
- capacity management;
- legal or regulatory compliance; and
- protection of users, devices or systems.

Dropair does not guarantee uninterrupted availability of every online Service.

Where practical, Dropair may provide advance notice of material planned interruptions.

---

## 27. Service and Feature Changes

Dropair may improve, modify, add or discontinue features of the Services.

Changes may be required because of:

- product development;
- security;
- compatibility;
- regulatory requirements;
- third-party platform changes;
- technical limitations; or
- service improvements.

Where a material change significantly affects an ongoing paid Service, Dropair will handle the change in accordance with applicable law and any specific service agreement.

---

## 28. Suspension and Termination

Dropair may suspend or terminate access to a Dropair ID or particular Service where reasonably necessary, including where:

- registration information is materially false or misleading;
- an account is used without authorization;
- security is compromised;
- payments remain overdue;
- these Terms are materially violated;
- confidential information is improperly disclosed;
- the Services, devices, Dropair or another user are placed at risk; or
- suspension or termination is required by law.

Where appropriate, suspension may be limited to the affected Service rather than the entire Dropair ID.

Termination of one Service does not necessarily require deletion of the user's Dropair ID.

---

## 29. Limitation of Liability

To the maximum extent permitted by applicable law, Dropair and the applicable Seller will not be liable for indirect, incidental, special, punitive or consequential damages arising from or relating to the Services, products or transactions.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law.

Specific transaction or service agreements may contain additional or different liability provisions.

---

## 30. Force Majeure

Neither Dropair nor the applicable Seller will be responsible for delay or failure to perform obligations caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, civil disturbance, governmental action, transportation disruption, telecommunications failure, widespread service outage, supply-chain disruption or similar events.

---

## 31. Changes to These Terms

Dropair may update these Terms from time to time.

The current version and its effective or last-updated date will be made available through the relevant Dropair website, application or Service.

Where required by applicable law or where a change materially affects users' rights or obligations, Dropair will provide appropriate notice and, where required, obtain renewed consent.

Continued use alone will not be treated as consent where applicable law requires another form of agreement.

---

## 32. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, without regard to conflict-of-law principles.

To the extent permitted by applicable law, the **Tokyo District Court** shall have exclusive jurisdiction as the court of first instance over disputes arising from or relating to these Terms, the Dropair ID, the Services or transactions conducted through the Services.

Mandatory rights or jurisdiction rules applicable to consumers are not excluded by this provision.
